These Terms of Service (the Agreement) govern all access to and use of the Prestige Shrimp LLC website, online store, wholesale portal, digital services, and any transactions for the purchase or supply of products. By accessing the website, creating an account, placing an order, shipping products, or engaging in any business with Prestige Shrimp LLC, the user or supplier agrees to comply fully with these Terms of Service.

Prestige Shrimp LLC (the Company) is located in Columbus, Georgia, United States, and operates a retail and wholesale seafood business through online and physical channels. These Terms apply to all users, customers, visitors, suppliers, and third parties engaging with the Company.


1. Acceptance of Terms

By accessing or using the website, submitting orders, delivering goods, or interacting with the Company in any way, the user confirms acceptance of this Agreement. Any party that does not agree to these Terms must discontinue use of the website and refrain from all transactions with the Company.

These Terms supersede any conflicting terms provided by a customer, supplier, vendor, distributor, or third party, unless a separate written agreement is executed and signed by an authorized officer of Prestige Shrimp LLC.


2. Definitions

Company means Prestige Shrimp LLC, including all affiliates under its ownership or control.

User means any individual or entity accessing the website, online store, wholesale portal, content, or digital services.

Customer means any retail or business purchaser of products supplied by the Company.

Supplier means any party that sells or delivers seafood, packaging, or related items to the Company.

Products include all seafood items, perishable goods, non perishable items, and any related goods offered or purchased through the Company.

Services include the website, Shopify store, wholesale portal, digital tools, and all online or offline systems supporting transactions.

Order means any request, purchase, or supply of Products, whether electronic, written, or verbal.


3. Website and Online Services

The website and online store are operated in part through Shopify. Users acknowledge that Shopify manages certain technical, security, and transactional features that are not controlled directly by the Company. The Company is not responsible for outages, delays, data issues, interruptions, or technical problems caused by Shopify or any third party service integrated with the website.

Users must not perform unauthorized access, reverse engineering, scraping, or security testing of the website or Services. Any misuse may result in account termination and legal action.


4. User Accounts

Users may create accounts to facilitate transactions. Account information must be kept secure, and the User accepts full responsibility for all activities conducted under their account. The Company is not responsible for unauthorized access due to weak credentials, sharing of login information, or compromised devices.

The Company may suspend or terminate any User account at its discretion, with or without notice, including wholesale accounts that require prior approval.


5. Ordering, Product Availability, and Pricing

All orders are subject to review and acceptance by the Company. Product availability and pricing may change at any time prior to order acceptance. The Company may refuse or cancel any order for reasons including limited availability, verification issues, payment concerns, suspected fraud, regulatory requirements, or business discretion.

The Company does not guarantee that product descriptions, pricing, or availability on the website are error free and reserves the right to correct inaccuracies without liability.


6. Perishable Goods and Product Condition

Seafood and perishable items require timely handling. Customers agree to inspect all deliveries immediately upon receipt. Inspection must occur within three hours of the recorded delivery time. After this period, all sales are final.

If a package arrives visibly damaged or spoiled, the Customer must document the condition with photographs and notify the Company within the three hour inspection window. Any Products that appear compromised must be rejected at the point of delivery when possible.

Once accepted, Products cannot be returned or refunded and the Company bears no liability for spoilage due to delayed retrieval, improper storage, or customer handling.


7. Shipping, Delivery, and Risk of Loss

Shipping times are estimates only and may vary based on carrier operations, customs, weather conditions, mechanical issues, or other factors beyond the Companys control. Risk of loss transfers to the Customer once the carrier confirms delivery at the specified address.

The Customer is responsible for ensuring accurate shipping information and for retrieving Products promptly after delivery. The Company is not liable for spoilage, delays, or losses caused by incorrect addresses, missed deliveries, or the Customers unavailability.


8. Payments

Users must provide accurate billing information and authorize the Company to charge all applicable amounts for Orders. Wholesale payment terms, if applicable, follow the separate invoices issued by the Company. The Company reserves the right to cancel or suspend Customer accounts for nonpayment or disputed charges.

Unauthorized chargebacks, refusal of payment, or repeated disputes may result in termination of access to the website and Services.


9. Supplier Obligations

Any Supplier shipping Products to the Company agrees that:

All Products must fully comply with applicable United States federal, state, and local laws and regulations, including but not limited to the Food Safety Modernization Act, the Federal Food, Drug, and Cosmetic Act, NOAA and USDA regulations, FDA rules, HACCP requirements, traceability standards, sanitation requirements, and labeling laws.

Products must be safe, not adulterated, not misbranded, and fit for human consumption. Products must be harvested, processed, stored, transported, and delivered under sanitary and temperature controlled conditions.

Supplier must notify the Company immediately if there is any indication of contamination, regulatory action, recall risk, or safety concern related to the Products.

Supplier invoices must accurately match the Companys purchase orders. Shipment of Products constitutes full acceptance of this Agreement.


10. Inspection and Rejection of Supplier Products

The Company may inspect Products at any time after arrival. If Products are found to be non conforming, unsafe, mislabeled, spoiled, or inconsistent with specifications, the Company may reject them, return them, or dispose of them at the Supplier expense, as permitted by law.

Supplier must promptly replace or refund rejected Products at its own cost.


11. Recalls and Safety Actions

If any governmental or regulatory body issues a notice affecting Products supplied to or sold by the Company, or if the Company determines that any Products may be unsafe, adulterated, or mislabeled, the Company may carry out or participate in a recall.

Suppliers must cooperate fully with any recall efforts. If a recall is attributable to Supplier conduct, negligence, or product defect, Supplier is responsible for all recall costs, including storage, destruction, communications, refunds, replacements, legal fees, and administrative expenses.


12. Indemnification

Users and Suppliers agree to indemnify and hold harmless Prestige Shrimp LLC from any claims, damages, losses, liabilities, costs, or expenses arising from:

Use or resale of Products
Failure to follow proper handling or storage instructions
Breaches of this Agreement
Supplier or Customer negligence
Regulatory non compliance
Misuse of the website or Services
Incorrect information supplied to the Company

The Company is not liable for damages except in cases of proven gross negligence or intentional misconduct.


13. Limitations of Liability

To the fullest extent permitted by law, Prestige Shrimp LLC shall not be liable for incidental, special, indirect, consequential, or punitive damages, including losses related to business interruption, lost profits, spoilage after delivery, shipping delays, website outages, or system errors caused by third parties.

The total liability of the Company for any claim shall not exceed the amount paid for the Products at issue.


14. Intellectual Property

All trademarks, logos, brand elements, product descriptions, images, website content, and digital assets are owned exclusively by Prestige Shrimp LLC. Users and Suppliers may not copy, reproduce, distribute, or use Company intellectual property without prior written approval.

Any intellectual property created by a Supplier for the Company becomes the Company property.


15. Confidentiality

Suppliers and Users shall maintain confidentiality regarding all business information, pricing, operational processes, product details, and other proprietary data related to Prestige Shrimp LLC. Confidential information may not be disclosed to any third party without written permission.


16. Digital Security and Electronic Transactions

Electronic signatures, Shopify confirmations, digital order submissions, and email communications are legally binding. The Company is not responsible for cybersecurity incidents affecting User devices, Supplier systems, or independent platforms such as Shopify.

Users are responsible for maintaining secure devices and networks.


17. No Assignment

Users and Suppliers may not transfer or assign rights or obligations under this Agreement without the Companys written permission.


18. Governing Law and Venue

This Agreement is governed exclusively by the laws of the State of Georgia, United States, without regard to conflict of laws. All disputes, claims, or legal actions must be brought only in the state or federal courts located in Muscogee County, Georgia, including the United States District Court for the Middle District of Georgia, Columbus Division.

Users and Suppliers consent to personal jurisdiction in these courts and waive objections to venue or forum.


19. Severability

If any section of this Agreement is found invalid, the remaining provisions remain in full effect.


20. No Waiver

Failure of the Company to enforce any term does not waive the right to enforce that term later.


21. Entire Agreement

These Terms of Service represent the entire agreement between the Company and all Users and Suppliers relating to the use of the website, online store, and purchase or supply of Products. Any changes must be made in writing and signed by an authorized officer of the Company.
